Credits pay for work Wopie does, not for seats. This document explains the three types of Credits, how they are consumed and when they expire, your Account responsibilities, and the support and availability you can expect.

1. About these terms
These Usage Terms are between The Trustee for The Wink Group, trading as Wopie (we, us), and the Customer (you). They form part of the Agreement and should be read with the General Terms, License Terms, Product Terms and Acceptable Use Policy. Capitalised terms have the meanings given in the Definitions. Current Credit rates and plans are on the Pricing Page.
2. Your Account
You create an Account by installing the Wopie app in a Workspace or signing up in the web application. One Account represents one organisation. If you have Affiliates that want to use the Service, each needs its own Account unless an Order Form says otherwise.
- Give us accurate and complete registration details, including your legal name, business identifiers and a billing contact, and keep them up to date.
- Keep your login credentials and Chat Platform authorisations confidential. You are responsible for everything done through your Account until you tell us about a problem, except to the extent it was caused by our breach of the Agreement or by a failure of our own security.
- Tell us at security@wopie.ai as soon as you become aware of unauthorised access to your Account, a Workspace connection or a Connected Tool authorisation. We will help you revoke access and investigate.
- You are responsible for the acts and omissions of your Authorised Users, including the requests they make and the Approvals they give.
3. Business verification
The Service is for businesses and other organisations. To prevent fraud, duplicate accounts and misuse of Promotional Credits, and to meet our legal obligations, we may ask you to verify your organisation at sign-up or at any later time. Verification may include confirming your business registration (for example an ABN or equivalent), verifying control of your email domain or Workspace, or providing a billing method in the organisation's name.
We may suspend an Account, hold Promotional Credits, or delay processing a top-up while verification is pending, and we may decline to provide the Service if we cannot verify you or if verification reveals a breach of the Agreement. We will tell you what we need and give you a reasonable time to respond. If we decline to provide the Service after verification, we refund any Fees you have prepaid for the Service we will not be providing, unless the reason we declined is your breach of the Agreement. Information you provide for verification is handled in accordance with the Privacy Policy.
4. Workspaces and Connected Tools
Every Workspace and Connected Tool you connect must belong to, or be controlled by, your organisation. Connecting a Workspace or tool that belongs to a client, partner or any other third party is a breach of the Agreement unless an Order Form permits it. Your Chat Platform may require an administrator to approve the Wopie app; that approval process, and any restrictions it applies, are yours to manage.
The permissions Wopie requests from each Chat Platform and Connected Tool, and what it does with them, are described in the Documentation and at /security. You can disconnect a Workspace or Connected Tool at any time from the web application or from the provider's own settings. Disconnecting stops Wopie reading from that source; it does not delete Deliverables already produced.
5. How Credits work
Credits meter the work Wopie does. You do not pay per seat. Each task an Authorised User delegates consumes Credits at the rates published on the Pricing Page, and the number consumed reflects the size of the task: how much context Wopie reads, how many Connected Tools it queries, and how much it produces.
- Credits are pooled across all Workspaces connected to your Account. Any Authorised User in any of your Workspaces draws from the same balance.
- Credits are not money, have no cash value and cannot be redeemed for cash, transferred to another Customer, or sold.
- Your balance and a history of consumption are shown in the web application so you can see what each task cost.
6. Types of Credits

Promotional Credits. The starting credit is available once per Customer organisation. Creating additional Accounts, Workspaces or email domains to obtain it more than once is a breach of the Agreement. We may revoke Promotional Credits, and close the Accounts involved, where we reasonably believe they were obtained through duplicate accounts, false information or other abuse. Promotional Credits carry no entitlement to any particular level of Service and may be withdrawn from new Customers at any time without affecting grants already made.
Plan Credits. Plan Credits are issued at the start of each billing period and reset at the end of it. If you upgrade a plan part-way through a period, we issue the difference for the remainder of that period. If you downgrade, the change applies from the next period.
Top-up Credits. Top-ups are one-off prepaid purchases. They do not renew and are not refundable except where the law requires it or where the License Terms provide for a pro-rata refund because we discontinue a core capability. Unused Top-up Credits lapse 12 months after purchase and when the Agreement ends.
7. Consumption order and estimates
When a task consumes Credits, we draw from your balances in this order: Promotional Credits first, then Plan Credits, then Top-up Credits. This means the Credits closest to expiry are used before the ones you paid for.
Before Wopie starts a task, it shows an estimate of the Credits the task is likely to consume. The estimate is our best guess based on the request; it is not a quote. Actual consumption depends on how much context Wopie needs to read, which Connected Tools it queries, and how long the resulting Deliverable is. If actual consumption is likely to exceed the estimate materially, Wopie will say so where it can, but you agree to pay for the Credits a task actually consumes.
8. When Credits run out
If your balance reaches zero, features that consume Credits pause. Wopie will not start new tasks and will tell the requesting Authorised User that Credits are needed. Your connected data, Deliverables already produced, Approval history and Account settings remain accessible in the web application. Nothing is deleted because your balance is empty.
To resume, purchase a top-up, upgrade your plan, or wait for the next billing period if you have a subscription. A task that was in progress when Credits ran out may be completed using the next Credits added to your balance.
9. Changes to Credit pricing
We may change the number of Credits a task consumes and the price at which Credits are sold. We will publish the change on the Pricing Page and give you at least 30 days' notice by email or in the web application before it takes effect. Changes are never retroactive: Credits already consumed are not re-priced, and Credits you have already purchased keep their value as Credits. If you do not accept a change, you may end the Agreement before it takes effect as described in the General Terms.
10. Support
Support is provided by email at support@wopie.ai on business days in Australia, excluding national public holidays. We aim to acknowledge every request promptly and to resolve problems with the Service within a reasonable time, taking into account their severity. Support covers using the Service, Account and billing questions, and problems with Wopie's behaviour. It does not cover the internal configuration of your Chat Platform or Connected Tools, or general advice about your business processes.
Customers on an Enterprise plan receive the support described in their Order Form, which may include named contacts, priority handling and defined response targets. Where the Order Form and this clause differ, the Order Form applies.
11. Availability and maintenance
We use reasonable commercial efforts to keep the Service available around the clock. We do not warrant any particular level of uptime unless an Enterprise Order Form includes a service level agreement, in which case that agreement sets out the commitment and the remedies for missing it.
- We will give notice in advance of planned maintenance where practicable, and schedule it outside Australian business hours where we can.
- Wopie depends on Chat Platforms, Connected Tools and Model Providers that we do not control. Outages or changes on their side can interrupt the Service and are outside any availability commitment we give.
- We may suspend or limit the Service, in whole or in part, where we reasonably believe it is necessary to protect the security or integrity of the Service or other Customers. We will restore access as soon as the risk is addressed and tell you what happened.
12. Fair use and limits
To keep the Service reliable for everyone, we may apply rate limits, concurrency limits and task size limits, which are described in the Documentation. Automated or scripted use that is designed to circumvent these limits, or use that places an unreasonable load on the Service, is a breach of the Acceptable Use Policy. Credits are consumed by tasks whether or not the resulting Deliverable is what you hoped for; if you believe a task was charged in error, contact support within 30 days and we will review it.
