Definitions

Capitalised words in our legal documents have the meanings below. If a document defines a term differently for its own purposes, that document says so.

1. How to read these definitions

These definitions apply to the General Terms, Acceptable Use Policy, Product Terms, Usage Terms, License Terms, Privacy Policy, Data Processing Agreement and Sub-processor List, together with any Order Form that references them (together, the Agreement). Headings are for convenience. "Including" means "including without limitation". The singular includes the plural. A reference to a law includes any law that replaces or amends it.

2. Defined terms

TermMeaning
Acceptable Use PolicyThe rules on permitted and prohibited use of the Service at /legal/acceptable-use, as updated from time to time.
AccountThe Customer's registered Wopie account, including every Workspace connected to it.
AffiliateAn entity that controls, is controlled by, or is under common control with a party, where control means more than 50% of voting interests.
Aggregated DataData derived from use of the Service that has been aggregated and de-identified so that it does not identify the Customer, an Authorised User, or any individual.
AgreementThe documents listed in the How to read these definitions section, together with any Order Form that references them, as each is updated from time to time.
Allowed ActionA category of action Wopie may perform without a separate Approval, as set out in the Product Terms.
ApprovalAn explicit, per-action confirmation given inside the Chat Platform by an Authorised User before Wopie performs a Gated Action.
Approval RulesThe configuration that determines which categories of action are Allowed, Gated, or Blocked in a Workspace or Channel.
Authorised UserAn employee, contractor, or agent of the Customer whom the Customer permits to use the Service through a Workspace.
Blocked ActionA category of action that Wopie will not perform under any configuration. Deleting records in a Connected Tool is always a Blocked Action.
ChannelA channel, team, group, or thread in a Chat Platform to which Wopie has been added by an Authorised User.
Chat PlatformSlack or Microsoft Teams, and any other messaging platform we later support and list in the Documentation.
Connected ToolA third-party service (for example a CRM, finance, support, documents, or analytics tool) that an Authorised User has authorised Wopie to access on the Customer's behalf.
CreditsThe internal unit used to meter consumption of the Service, as described in the Usage Terms. Credits are not money, have no cash value, and are not redeemable for cash.
CustomerThe business, organisation, or other legal entity that accepts the Agreement, whether directly or through an Authorised User acting with authority.
Customer DataAll data, content, messages, files, credentials, and other materials that the Customer or its Authorised Users submit to, or authorise the Service to access from, a Chat Platform or Connected Tool, together with Outputs.
DeliverableAn Output produced in response to a delegated request, such as a report, draft reply, summary, brief, or pack.
DocumentationThe then-current user guides, permission and scope descriptions, and help content that we publish for the Service, including at /docs and /security.
Effective DateThe earlier of the date the Customer first accepts the Agreement and the date the Customer or an Authorised User first uses the Service.
FeesThe amounts payable for the Service, including Credit top-ups and subscription charges, as set out on the Pricing Page or an Order Form.
Gated ActionA category of action that requires an Approval before Wopie performs it. Sending a communication outside the Workspace, and any action involving money, pricing, or payment, is always a Gated Action.
High-Risk ActionA Gated Action that cannot be pre-authorised or batch-approved: adding or removing Wopie from a Channel, changing Approval Rules, and sending anything to a recipient outside the Customer's organisation.
Model ProviderA third-party provider of large language models that we use to process requests and generate Outputs, named in the Sub-processor List.
Order FormA written order, quotation, or online checkout confirmation that references the Agreement and states the Service, Fees, and term purchased.
OutputContent, suggestions, drafts, files, or proposed actions generated by the Service in response to a request from an Authorised User.
Personal InformationInformation or an opinion about an identified or reasonably identifiable individual, as defined in the Privacy Act 1988 (Cth), and, where applicable, personal data as defined in the GDPR or UK GDPR.
Plan CreditsCredits included in a paid subscription plan for each billing period, subject to the expiry and rollover rules in the Usage Terms.
Pricing PageThe pricing information we publish at /pricing, as updated from time to time.
Promotional CreditsCredits we grant without charge, including the starting credit offered to new Customers, subject to the expiry and conditions in the Usage Terms.
Regulated DataInformation subject to specific legal or industry protection, including health information, payment card data, government identifiers, biometric data, information about children under 18, and export-controlled data.
ServiceThe Wopie software, the Wopie apps for Chat Platforms, the web application at https://app.wopie.ai, associated APIs, and the Documentation, provided by The Trustee for The Wink Group.
Sub-processorA third party that we engage to process Customer Data on our behalf, listed at /legal/sub-processors.
Subscription TermThe period during which the Customer is entitled to use a paid plan, as stated in the Order Form or selected at checkout, including renewals.
Top-up CreditsCredits purchased in advance, outside a subscription plan, subject to the validity and refund rules in the Usage Terms.
TrustThe Wink Group, the trust of which the Provider is trustee and in whose capacity the Provider enters the Agreement.
WorkspaceA Slack workspace, Microsoft Teams tenant, or equivalent Chat Platform environment that an Authorised User has connected to the Service.
we, us, our, ProviderThe Trustee for The Wink Group (ABN 69 794 946 307) of 1/10 Langton Street, Glenroy VIC 3046, Australia, trading under the registered business name Wopie. The Provider enters the Agreement only in its capacity as trustee of the Trust, as the General Terms and the Data Processing Agreement explain.
you, yourThe Customer and, where the context requires, each Authorised User.

3. Order of precedence

If documents in the Agreement conflict, they apply in this order, highest first: (a) a signed Order Form or Enterprise agreement, to the extent of the conflict; (b) the Data Processing Agreement, for the processing of Personal Information; (c) the Product Terms; (d) the Usage Terms and License Terms; (e) the General Terms; (f) the Acceptable Use Policy; (g) the Privacy Policy and Sub-processor List; (h) the Documentation.

Two exceptions sit above this order. Where the Standard Contractual Clauses or the UK Addendum apply to a transfer, they prevail over every document in the Agreement for the matters they cover. Nothing in any document operates to exclude a right or remedy that the law does not allow us to exclude.
